Governing Bodies of the Organisation

Article 7 – Governing and Supervisory Bodies

1. The governing and policy-making bodies of ASP Romanelli–Palmieri are:

a) the Chair;
b) the Board of Directors.

2. The supervisory body of ASP Romanelli–Palmieri is:

a) the Board of Auditors.

Article 8 – Chair of the Board of Directors

1. The Chair is appointed by the Regional Executive, in accordance with Article 16(c) of Regional Law No. 15/2004, as amended by Article 8 of Regional Law No. 13/2006.
2. The Chair is the legal representative of the organisation. Subject to authorisation by the Board of Directors, the Chair represents the organisation in legal proceedings.
3. The Chair performs the following functions:

a) setting the agenda for meetings of the Board of Directors;
b) convening and chairing meetings of the Board of Directors;
c) ensuring the effective implementation of resolutions adopted by the Board of Directors;
d) delegating responsibility for overseeing the activities of specific departments to individual Board members, while informing the Board of Directors accordingly;
e) personally undertaking, or delegating, any appropriate initiative intended to establish and maintain relationships with public bodies, private-sector organisations, user associations and other organisations concerned with the institutional purposes of the organisation;
f) in urgent and unavoidable circumstances, issuing orders on matters falling within the remit of the Board and submitting them for ratification at the next meeting of the Board of Directors. The Board must in any event meet within seven days of the date on which the order was issued.

Article 9 – The Board of Directors

1. The Board of Directors is responsible for establishing policy and overseeing the organisation’s administrative and management activities.
2. The Board of Directors consists of five members, including the Chair.
3. The members of the Board of Directors are appointed by resolution of the Regional Executive, upon the proposal of the Municipal Council of Monopoli, pursuant to Article 42 of the Consolidated Law on Local Authorities (TUEL).
4. The members of the Board of Directors remain in office until they have all been replaced. The Chair may, however, be replaced independently of the other members.
5. The members of the Board of Directors serve for three years from the date on which the Board takes office and, in any event, until all new members have been appointed.
6. The members of the Board of Directors remain in office until the Board’s ordinary term expires. By that date, arrangements must be made for the reconstitution of the Board of Directors, within the time limits and according to the procedures established by Article 23 of Regional Regulation No. 1/2008.
